NEW FDA HEAD SAYS CLINICAL RESEARCH ORGANIZATIONS ARE VITAL TO ENHANCING DRUG DEVELOPMENT PROCESS
November 21, 2002 – The new commissioner of the U.S. Food and Drug Administration (FDA) says clinical research organizations (CROs) will play an important role in working with the FDA in continuing to enhance the development of new and effective medicines in the United States. Mark B. McClellan, M.D., Ph.D., spoke this week to the heads of 30 leading CROs at an event hosted by the Association of Clinical Research Organizations (ACRO). -
QUINTILES TRANSNATIONAL SPECIAL COMMITTEE REJECTS PROPOSAL BY PHARMA SERVICES COMPANY TO ACQUIRE ALL OUTSTANDING SHARES
November 11, 2002 - The Special Committee of the Quintiles Transnational Corp. (Nasdaq: QTRN) Board of Directors announced today that it had rejected the proposal by Pharma Services Company to acquire all outstanding shares of Quintiles common stock for $11.25 per share as inadequate and not in the best interests of Quintiles and its shareholders. The conclusion of the Special Committee was reached after careful consideration, including a thorough review with its independent financial advisor, Morgan Stanley, and its independent legal advisor, Willkie Farr & Gallagher. Pharma Services Company is wholly owned by Dennis B. Gillings, Ph.D., Chairman of the Board and Founder of Quintiles. Its non-binding proposal was announced on October 14. -
QUINTILES ACQUIRES MAJORITY STAKE IN LATE-PHASE CLINICAL RESEARCH CONSULTING AND STUDY DESIGN COMPANY
October 29, 2002 - Quintiles Transnational Corp. (Nasdaq: QTRN) today announced the acquisition of a controlling interest in Health Research Solutions Pty Ltd, an Australian company specializing in multi-national late-phase clinical research. -
QUINTILES TRANSNATIONAL CORP. UPDATES SPECIAL COMMITTEE ACTIVITIES
October 25, 2002 - Quintiles Transnational Corp. (Nasdaq: QTRN) today announced that the recently constituted special committee of its Board of Directors has engaged Morgan Stanley to act as its financial advisor. Members of the special committee are Robert C. Bishop, Ph.D., Vaughn D. Bryson and Virginia V. Weldon, M.D. The special committee also has engaged Willkie Farr & Gallagher as its legal counsel. -
QUINTILES REPORTS 3rd QUARTER EPS OF $0.18; ACHIEVES RECORD CASH FLOW FROM OPERATIONS OF $77 MILLION
October 16, 2002 - Quintiles Transnational Corp. (Nasdaq: QTRN) today announced financial results for third quarter 2002. Earnings per share for the quarter ended Sept. 30, 2002, were $0.18 on a diluted basis, exceeding analysts' consensus expectations and up from a third quarter 2001 loss of $1.03 per share. On an operating basis, third quarter 2001 EPS was $0.04, excluding non-recurring events. Net revenue and net income for third quarter 2002 were $396.9 million and $21.2 million, respectively, compared to third quarter 2001 net revenue of $399.4 million and a net loss of $123.9 million. Operating basis net income for third quarter 2001, excluding non-recurring events, was $5.1 million. Non-recurring events in 2001 included restructuring charges, write-off of goodwill and other assets, impairment on the investment in WebMD common stock, and gain on disposal of a discontinued operation. QUINTILES TRANSNATIONAL RECEIVES PROPOSAL FROM DENNIS GILLINGS TO ACQUIRE QUINTILES
October 14, 2002 - Quintiles Transnational Corp. (Nasdaq: QTRN) today announced that Pharma Services Company, a newly formed company wholly owned by Dennis B. Gillings, Ph.D., Chairman of the Board and Founder of Quintiles, has made a non-binding proposal to acquire all of the outstanding shares of Quintiles for a cash price of $11.25 per share. Quintiles' Common Stock closed at $8.31 on October 11, 2002. -
